Cashflow Positive

1. Agreement
By creating an account or using Cashflow Positive (the “Service”), you agree to these Terms and Conditions (“Terms”). If you do not agree, do not use the Service.
2. The Service
2.1. Cashflow Positive is a software tool that helps you track income, expenses, and related figures for Hong Kong residential properties.
2.2. We are not:
- a landlord, property manager, estate agent, or broker
- a tax agent, accountant, solicitor, or financial adviser
- a party to any tenancy, mortgage, or other property transaction
2.3. The Service is an organisational and calculation tool only.
2.4. The Service is provided for your personal use in tracking your own Hong Kong residential properties only. Commercial, multi-client agency, or bulk use requires a separate written licence from us.
3. Accounts
3.1. You must be at least 18 years old.
3.2. You are responsible for your login credentials and for activity under your account.
3.3. Provide accurate account information and keep it updated.
4. Your responsibilities
4.1. You are solely responsible for:
- the accuracy and completeness of data you enter (amounts, dates, property details, etc.)
- decisions you make using the Service
- compliance with Hong Kong law (including tax, tenancy, and rating obligations)
4.2. You must not:
- use the Service for unlawful purposes
- attempt to disrupt, reverse-engineer, decompile, disassemble, clone, scrape, copy, modify, create derivative works from, or otherwise misuse the Service or any part of it
- access another user’s account without authority
- use the Service to build a competing product or service
4.3. The Service (including its software, algorithms, design, calculations, and user interface) is proprietary and confidential. All rights are reserved. You are granted only a limited, non-exclusive, non-transferable, revocable licence to use the Service in accordance with these Terms for your personal tracking of your own Hong Kong residential properties.
5. No advice — estimates only
5.1. The Service does not provide tax, legal, accounting, investment, or financial advice.
5.2. Features such as:
- Property Tax estimates
- gross and net yields
- normalised monthly run-rate
- This Month cash figures
- vacancy / rent-free impact
- agency commission and stamp duty suggestions
are informational estimates based on the data you provide and simplified methods. They are not:
- tax filing figures
- valuations or appraisals
- guarantees of cashflow, return, or compliance
5.3. Always verify figures and consult a qualified professional (for example a CPA or the Inland Revenue Department) before making decisions or filings.
5.4. Reminders and prompts (including lease-end or rent-review related prompts) are organisational aids only. They are not legal advice and do not guarantee that you will meet any deadline.
5.5. Calculation disclaimer. Cashflow Positive is a personal tracking and organisation tool only. All yields, net cashflow figures and calculations are estimates generated solely from the data you enter. They are not verified, not financial advice, not investment advice, and not tax advice. You remain solely responsible for any decisions you make. We exclude all liability to the maximum extent permitted by Hong Kong law.
6. Plans and subscriptions
6.1. We may offer a free plan and one or more paid plans (for example “Pro”). Plan features, limits, and prices may change from time to time at our sole discretion. Current plan descriptions and prices are published on our pricing page.
6.2. Free plan is strictly limited to a maximum of one (1) property and ten (10) cashflow items (or such other limits as we publish from time to time). Exceeding these limits may result in immediate restriction or suspension of the ability to add further data or access certain features, with no liability on our part. Free users have no vested right to any particular feature set or limit level.
6.3. Paid subscriptions renew automatically for the selected billing period (monthly or yearly) until you cancel.
6.4. You can cancel a paid subscription at any time from Settings (Stripe Customer Portal) for web purchases, or via the applicable App Store / Google Play subscription management for in-app purchases.
6.5. For purchases made through Apple App Store or Google Play, the respective platform’s terms, cancellation, and refund policies govern and take precedence over these Terms to the extent of any conflict.
6.6. Monthly plans: You may cancel at any time. Access to paid features continues until the end of the current billing period. Cancellation does not entitle you to a pro-rata refund of fees already paid for that period, unless required by law or the relevant platform.
6.7. Annual plans: We offer a limited 7-day money-back guarantee strictly for the initial annual purchase (not renewals). This guarantee is available only once per user / email address. To claim, you must request a refund in writing to support@cashflow-positive.com within 7 days of the charge. We may refuse the refund if we reasonably suspect abuse (including multiple accounts or repeated claims). After the 7-day period, or for any renewal, cancellation stops future renewals but does not entitle you to any refund of the remaining term, except as required by Apple, Google, or mandatory Hong Kong law.
6.8. We may change prices, features, free-tier limits, or discontinue any plan or feature at any time. For existing paid subscriptions, changes generally take effect on the next renewal date (or earlier with notice if required).
7. Payment processors
7.1. Paid plans are billed through Stripe, a third-party payment processor. We do not store full payment card numbers on our own servers. Stripe’s terms and privacy notice also apply to payment transactions.
7.2. Failed payments, chargebacks, or processor outages may result in suspension of paid features until billing is resolved.
7.3. You agree to contact support@cashflow-positive.com before initiating any chargeback or payment dispute. Initiating a chargeback without prior contact is a material breach and may result in immediate termination and liability for our costs.
7.4. All prices are in HKD and exclusive of any taxes. You are solely responsible for any taxes arising from your use of the Service or your property income.
8. Intellectual property and your data
8.1. We own the Service, including software, design, and branding.
8.2. You own the data you enter.
8.3. You grant us a worldwide, non-exclusive, royalty-free, transferable, sublicensable, perpetual and irrevocable licence to host, store, process, display, and create anonymised or aggregated derivatives of that data for the purposes of operating, securing, maintaining, analysing, and improving the Service (including product development, analytics and benchmarking). We will not sell your personal data.
9. Third-party services
9.1. The Service relies on third parties (including hosting, authentication, email providers, and, when enabled, payment processors). We are not responsible for outages, errors, or acts of those providers beyond our reasonable control.
9.2. We are not liable for any failure or delay caused by circumstances beyond our reasonable control, including failures of third-party infrastructure, internet providers, or force majeure events.
10. Disclaimer
10.1. The Service is provided “as is” and “as available”. To the fullest extent permitted by Hong Kong law, we disclaim all warranties, including merchantability, fitness for a particular purpose, accuracy, and uninterrupted availability.
10.2. Cashflow Positive is a personal tracking and organisation tool only. All yields, net cashflow figures and calculations are estimates generated solely from the data you enter. They are not verified, not financial advice, not investment advice, and not tax advice. You remain solely responsible for any decisions you make. We exclude all liability to the maximum extent permitted by Hong Kong law.
11. Limitation of liability
11.1. To the fullest extent permitted by Hong Kong law:
- we are not liable for indirect, incidental, special, consequential, or punitive loss, or loss of profits, data, or opportunity
- our total liability arising out of or relating to the Service is limited to the greater of (a) the fees you paid us for the Service in the 12 months before the claim, or (b) HKD 1 if you have paid no fees or are on the free plan
- we exclude all liability arising from reliance on yields, net cashflow figures, estimates, or other calculations generated from data you enter, to the maximum extent permitted by Hong Kong law
- the limitations and exclusions in this section apply even if any limited remedy fails of its essential purpose
- we have no liability for any act, omission, outage, error or data issue of third-party providers (including Supabase, Vercel, Stripe, Resend, Google or Apple)
11.2. Nothing in these Terms excludes liability that cannot be excluded under Hong Kong law.
12. Indemnity
You will indemnify us against claims, losses, and costs arising from your use of the Service, your data, or your breach of these Terms, except to the extent caused by our wilful misconduct.
13. Suspension and termination
13.1. We may suspend, restrict or terminate your access to the Service and/or delete your account at any time, for any reason or for no reason, with or without prior notice.
13.2. Without limiting the foregoing, we may immediately restrict or terminate free-tier accounts that exceed published limits.
13.3. Upon termination or suspension you lose access to the Service and to your data. We have no obligation to retain, export, return or restore any data except as required by applicable law or the rules of the Apple App Store or Google Play.
13.4. You may stop using the Service and close your account at any time. Provisions that by nature should survive (including sections 5–12 and 14–15) will survive termination.
14. Changes
We may update these Terms from time to time. We will post the updated version and revise the “Last updated” date. Continued use after changes take effect constitutes acceptance.
15. Governing Law and Dispute Resolution
15.1. These Terms are governed by the laws of Hong Kong.
15.2. Any dispute, controversy, difference or claim arising out of or relating to these Terms, including the existence, validity, interpretation, performance, breach or termination thereof or any dispute regarding non-contractual obligations arising out of or relating to them, shall be referred to and finally resolved by arbitration administered by the Hong Kong International Arbitration Centre (HKIAC) under the HKIAC Administered Arbitration Rules in force when the Notice of Arbitration is submitted.
15.3. The law of this arbitration clause shall be Hong Kong law.
15.4. The seat of arbitration shall be Hong Kong.
15.5. The number of arbitrators shall be one.
15.6. The arbitration proceedings shall be conducted in English.
